SpaceX Closes $60 Billion Cursor Acquisition

Space Exploration Technologies Corp. (Nasdaq: SPCX) completed its acquisition of Cursor on Aug. 14, making the AI coding company a wholly owned subsidiary as SpaceX expands its investment in artificial intelligence infrastructure and models. SpaceX confirmed that the merger became effective Aug. 14 in a Form 8-K filed with the U.S. Securities and Exchange Commission (SEC).

The closing converted Cursor common and preferred shares into rights to receive an aggregate 389,289,254 SpaceX Class A shares. SpaceX said the consideration was based on an implied Cursor equity value of $60 billion, with the SpaceX share price determined from its volume-weighted average closing price over the seven trading days immediately before closing.

In its Aug. 14 statement, Cursor confirmed the transaction and tied the closing directly to the companies’ earlier computing relationship. Cursor wrote:

“Cursor has officially been acquired by SpaceX. This completes the acquisition process that started in April, when we announced our partnership with SpaceXAI to accelerate our model training efforts.”

The transaction follows the definitive merger agreement signed June 16 among SpaceX, wholly owned merger subsidiary X67 Inc. and Anysphere Inc., which operates Cursor. That agreement provided for X67 to merge into Cursor, leaving Cursor as the surviving wholly owned SpaceX subsidiary after the closing conditions were satisfied.

SpaceX Shares Form the Core of the Consideration

Cursor’s vested restricted stock units were also converted at closing into rights to receive 1,752,426 SpaceX Class A shares before applicable tax withholding. SpaceX also assumed Cursor’s unvested awards, converting them into approximately 29.1 million SpaceX restricted stock units and 44.4 million options to purchase SpaceX Class A shares.

SpaceX initially secured an option in April to acquire Cursor for $60 billion while the companies launched a model-training partnership. The arrangement gave Cursor access to SpaceXAI computing infrastructure as it worked to scale model training, before the companies moved to a definitive merger agreement in June and completed the acquisition on Aug. 14.

The company issued the merger consideration without a registered public offering, relying on the exemption under Section 4(a)(2) of the Securities Act. SpaceX’s filing describes the issuance as a transaction by an issuer not involving a public offering, distinguishing the acquisition consideration from shares sold broadly to public investors.

Compute Partnership Led to a Full Combination

Cursor and SpaceX began working together in April after Cursor said computing capacity had become a constraint on expanding its AI models. Under the model-training partnership announced April 21, Cursor said its researchers would use SpaceXAI’s Colossus infrastructure to increase training scale after earlier Composer models showed gains as more compute was applied.

That collaboration subsequently expanded into joint model development. By July, Cursor and SpaceXAI were preparing a jointly developed AI model, extending the relationship from access to computing infrastructure toward shared model development and distribution through developer-focused products.

The completed combination gives Cursor access to substantially greater GPU capacity, which the company expects to use for stronger models that cost less to operate for customers. The company framed SpaceX’s infrastructure buildout as central to that goal rather than simply as additional corporate resources after the acquisition.

Near the close of its Aug. 14 statement, Cursor wrote:

“SpaceX is building the computing capacity needed to scale intelligence far beyond what exists today. Cursor will be one place where that intelligence becomes useful.”

Cursor Becomes Part of a Broader AI Infrastructure Strategy

Large GPU clusters perform the parallel calculations needed to train and operate modern AI systems, making compute availability a strategic input for companies developing increasingly large models. The wider AI compute ecosystem also includes decentralized approaches that distribute processing capacity across independent infrastructure rather than concentrating it within a single operator.

SpaceX has simultaneously been building a broader computing strategy that extends beyond Cursor. Musk has described plans to scale AI computing infrastructure through SpaceX’s wider technology platform, while the company has identified AI compute among areas where it expects to deploy capital as its operations expand.

That strategy has also appeared in SpaceX’s public-company disclosures, with AI compute infrastructure included among growth priorities. Cursor, meanwhile, said the acquisition allows it to continue pursuing AI systems that can handle larger portions of software-development work while drawing on substantially greater computing capacity.
